Do you still have 2006 installed? If so, open the company file in 2006, resort all the lists. (Do this by right clicking on the list and select resort list.) Then run a verify AND a rebuild of the data file. Both processes can correct different issues.
If, after that, you still cannot upgrade the file, I would contact Intuit. When upgrading to the current product, they should be able to do it for you.

There doesn't seem to be 2006 on my computer anymore...not really sure how that happened when I tried to upgrade to 2009. I also spent an hour and three minutes on the phone with intuit this morning to get absolutely nowhere. Just a "restart your computer and try to restore the file again" after she had me run an update for the 2009 version. Any other suggestions would be appreciated. I do have 2006 on my laptop still and was able to do my work there; but even when I try to do a backup there I get a rebuild data error







Did you run a rebuild of the file after getting the message?







In 2006, there will be a QBWin.log. Do a search on your laptop for it. If you start at the bottom of the log (the most recent activity) you should be able to tell where you ran the last rebuild. It MAY tell you what list elements are wrong. If so, you can change whatever it is, and that should be it. (Hah, never is that easy.) :-X
If the log doesn't show you whats wrong, or you can't fix it for whatever reason, you're back to support. They really should bring the file in to have Data Services correct it. If they do, know your file will go to offshore help to fix. I say this of course, because SLS offers a data services service and would love to fix your file for you. (I know, I'm shameless.) You can also look in the classified to see if anyone else out there offers this kind of support.
I really do hope you're able to fix it on your own. Using anyone else for support is never fun.
